1. Purpose
This Indemnification Policy establishes the circumstances under which users of the MahaBachatGat Consultancy Portal (“Portal”) agree to protect and indemnify the Portal against claims, losses, liabilities and expenses arising from their use of the Portal.
The purpose of this Policy is to allocate responsibility appropriately between the Portal and its users while preserving the Portal’s role as an independent technology platform.
This Policy shall be read together with the Portal’s:

2. Scope
This Policy applies to:
• Registered Consultants
• Service Buyers
• Visitors
• Guest Users
• Organizations
• Educational Institutions
• Government Bodies
• NGOs
• Any other user accessing consultancy.mahabachatgat.in.
3. User Responsibility
Each user is solely responsible for:
• information submitted to the Portal;
• professional representations made by them;
• consultancy services offered;
• communications with other users;
• contractual obligations undertaken;
• compliance with applicable laws;
• financial transactions conducted outside the Portal.
The Portal shall not assume responsibility for actions taken independently by users.
4. Consultant Indemnity
Each Consultant agrees to indemnify, defend and hold harmless the MahaBachatGat Consultancy Portal, the MahaBachatGat Ecosystem, its proprietor, officers, employees, administrators, affiliates, contractors and authorised representatives against any claims, demands, proceedings, liabilities, losses, damages, costs or expenses (including reasonable legal expenses, where recoverable under applicable law) arising from or relating to:
• inaccurate or misleading profile information;
• false qualifications or certifications;
• professional negligence;
• deficient consultancy services;
• breach of consultancy agreements;
• unlawful conduct;
• intellectual property infringement;
• confidentiality breaches;
• regulatory non-compliance;
• tax-related obligations;
• fraudulent activities;
• violations of Portal policies.
5. Service Buyer Indemnity
Each Service Buyer agrees to indemnify, defend and hold harmless the Portal and its associated persons against claims, liabilities, losses, damages or expenses arising from:
• misuse of the Portal;
• false complaints;
• unlawful conduct;
• breach of consultancy agreements;
• unauthorized use of Consultant information;
• infringement of intellectual property rights;
• defamatory statements;
• violation of applicable laws.
6. Third-Party Claims
Users agree to indemnify the Portal against any third-party claim arising from:
• content uploaded by the user;
• misuse of another person’s intellectual property;
• defamatory material;
• privacy violations;
• breach of confidentiality;
• unauthorized publication of information;
• illegal activities conducted using the Portal.
7. Consultancy Engagements
All consultancy assignments are entered into directly between the Consultant and the Service Buyer.
Accordingly, users agree that the Portal shall not be responsible for claims arising from:
• consultancy advice;
• consultancy reports;
• business decisions;
• project implementation;
• project failures;
• consultancy fees;
• payment disputes;
• contractual disputes;
• taxation issues;
• quality of consultancy services.
Users shall indemnify the Portal against claims arising from such engagements.
8. Intellectual Property
Users agree to indemnify the Portal against claims arising from:
• copyright infringement;
• trademark infringement;
• patent infringement;
• design infringement;
• misuse of confidential information;
• unauthorized use of proprietary content;
• plagiarism.
Users remain solely responsible for ensuring they have the necessary rights to publish or use content made available through the Portal.
9. Compliance with Laws
Each user agrees to comply with all applicable Central and State laws, regulations and professional standards.
Where any legal claim arises due to a user’s failure to comply with applicable laws, that user shall indemnify the Portal against resulting liabilities to the extent permitted by law.
10. Government Investigations
Where governmental authorities initiate investigations arising from a user’s conduct, the concerned user shall remain responsible for responding to such investigations.
Nothing in this Policy prevents the Portal from cooperating with lawful requests from courts, regulatory authorities or law enforcement agencies.
11. Legal Costs
Where the Portal incurs reasonable legal costs, professional fees or administrative expenses directly arising from a user’s breach of this Policy or other Portal policies, the Portal may seek recovery of such costs from the responsible user to the extent permitted by applicable law.
12. Notification of Claims
Where reasonably practicable, the Portal may notify the concerned user upon becoming aware of a claim that may give rise to indemnification under this Policy.
The Portal’s failure to provide immediate notice shall not automatically extinguish any indemnification obligation where the user has not been materially prejudiced.
13. Survival
The indemnification obligations contained in this Policy shall survive:
• account suspension;
• account termination;
• deletion of user profiles;
• completion of consultancy assignments;
• discontinuation of Portal use,
to the extent permitted under applicable law.
14. Limitation
Nothing contained in this Policy shall require a user to indemnify the Portal for losses resulting solely from the Portal’s own wilful misconduct, fraud or liability that cannot lawfully be excluded or limited under applicable Indian law.
15. Policy Amendments
The Portal reserves the right to amend this Policy to reflect changes in law, judicial decisions, business operations or regulatory requirements.
The latest version published on the Portal shall supersede all previous versions.
Continued use of the Portal after publication of amendments constitutes acceptance of the revised Policy.
